Terms of Service

These terms set out the rules for using Freightflow. They are written to be readable; where your signed order form says something different, the order form controls.
Agreement to these terms
These Terms of Service ("Terms") govern your access to and use of Freightflow, provided by The Meridian Globals ("we", "us"). By accessing the service or signing an order form that references these Terms, you agree to be bound by them on behalf of your organisation ("Customer").
If you do not agree to these Terms, do not use the service.
The service
Freightflow is a software platform for freight forwarders that captures documents, extracts and validates shipment and billing data, reconciles vendor bills, monitors free-day and demurrage timelines, and supports invoicing and GST e-invoicing. Specific features available to you are set out in your order form.
We may improve, change or discontinue features over time. We will not make changes that materially reduce core functionality of a paid plan during its term without notice.
Accounts and access
You are responsible for the accounts, roles and permissions you configure, and for keeping login credentials confidential. You must ensure that everyone who uses the service through your organisation complies with these Terms.
You are responsible for the accuracy of master data, tariffs and rules you configure, and for reviewing outputs before acting on them.
Acceptable use
- Do not use the service unlawfully or to infringe the rights of others.
- Do not attempt to breach security, access another tenant's data, or disrupt the service.
- Do not resell or provide the service to third parties except as permitted in your order form.
- Do not upload content you are not authorised to process.
Customer data and confidentiality
As between the parties, Customer retains all rights to the data it submits ("Customer Data"). You grant us the limited rights needed to host and process Customer Data to provide the service. We process Customer Data in line with our Privacy Policy.
Each party will protect the other's confidential information and use it only to perform under these Terms.
Third-party services
The service integrates with third parties you choose to enable — for example, a GST Suvidha Provider (GSP) for e-invoicing, your email provider for document intake, and cloud infrastructure. Your use of those services is subject to their terms, and we are not responsible for their availability or acts.
Fees
Fees, billing frequency and any usage-based charges are set out in your order form. Unless stated otherwise, fees are exclusive of applicable taxes. Late or non-payment may result in suspension after reasonable notice.
Intellectual property
We and our licensors own all rights in the service, including its software, models and design. These Terms grant no rights to the service except the right to use it as described. Feedback you provide may be used to improve the service without obligation to you.
Disclaimers
The service is provided "as is". Automated extraction, reconciliation and compliance features are decision-support tools; you remain responsible for verifying outputs, filings and payments. To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement.
Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental or consequential damages, and each party's aggregate liability arising out of these Terms is limited to the fees paid by Customer for the service in the twelve months preceding the claim. Nothing limits liability that cannot be limited by law.
Term and termination
These Terms apply for the duration set out in your order form. Either party may terminate for material breach not cured within a reasonable notice period. On termination, your right to use the service ends; we will make Customer Data available for export for a limited period as described in your order form or our Privacy Policy.
Governing law
These Terms are governed by the laws of India, and the courts at Delhi have exclusive jurisdiction, subject to any different provision in your order form.
Changes and contact
We may update these Terms; material changes will be notified through the service or by email. Continued use after changes take effect constitutes acceptance.
